1. Who we are. This website is operated by Business Money ("Business Money"/"we"/"us") who provides the services available on this website ("Site") to you, the user on the following terms and conditions ("Terms"). If using this Site in your business capacity, "you" also means your company, its officers, members, employees, agents and successors. 2. Scope. These Terms may be updated by us from time to time without us contacting you. By using this Site, you agree to be bound by the most current version of these Terms and any other terms, conditions, notices and guidelines available on this Site. You must therefore review the most current version of these Terms whenever accessing any part of www.business-money.co.uk. In addition, when using a particular service on this Site, additional terms, conditions or notices may govern your use of such service and you should check those terms, conditions or notices when using that service as well (which will be incorporated into these Terms).

3. Aim/Information on Site. This Site aims to provide small and medium sized United Kingdom based businesses with information about and assistance in relation to various business services. Business Money may assist transactions between buyers and suppliers/providers of business services by providing on the Site, information about products or services available and a technical means where buyers can send requests for quotes ("RFQs") for such products or services to suppliers/provider ("Vendor").

4. Prices/transactions etc. Any price or quotation appearing on the Site is not an offer to enter into a contract. In the event that a user decides to purchase any services, Business Money shall supply the contact details of the buyer to the Vendor and the sale process shall be completed in accordance with the arrangements made between those parties. Business Money does not verify content or information provided by any third parties and is not involved performing the actual transactions between buyers and Vendors initiated through the Site. As a result, Business Money has no control over the quality, fitness for purpose or legality of the services being advertised or reliability of the listings, the ability of the Vendors to fulfill the services or the terms and conditions of any transaction between a buyer and Vendor. Because Business Money does not review the substance of the information exchanged between participants on the Site, you must take all due care in dealing with buyers, Vendors and other participants on the Site, carrying out your own fraud and security checks. You are responsible for verifying the identity of buyers or Vendors on the Site and any decision to enter into a transaction. We will have no obligation for verifying any credit rating, solvency or other information with respect to, any buyer or Vendor.

5. Eligibility. This Site is intended for use by individuals and entities that can form legally binding contracts under English law. You can only use this Site if you are over 18 years old. You represent that you will not make offers for services for sale or request quotations through the Site unless you have the legal capacity, good faith intention and ability to perform or pay for such services on the terms stated.

6. Password. You may receive a user name and password upon completing the registration process ("Log-In details"). You are responsible for the security of any Log-In Details, and are fully responsible for all activities that occur under those Log-In Details. You agree to (i) immediately notify Business Money of any unauthorised use of your Log-In Details or any other breach of security, and (ii) ensure that you log-out from your account at the end of each session.

7. Delivery of and Payment for Services. Buyers are responsible for paying amounts due and for accepting delivery of all services sold through the Site, and Vendors are responsible for invoicing and collecting amounts due (including all applicable taxes) and for delivering all such services. You agree to proceed solely against your applicable counterparty to collect or recover any amounts owing to you or to enforce any of your rights in connection with transactions initiated on or conducted through the Site, and you hereby irrevocably and unconditionally release Business Money from any and all such actions.

8. Compliance with Laws. You shall comply with all applicable laws and regulations of the United Kingdom and other competent authorities relating to the purchase or provision of services on the Site or use of this Site.

9. Conduct. You agree (i) not to use this Site to upload or distribute in any way files that contain viruses, bugs, corrupted files, or any other similar software or programs that may harm the operation of computer hardware or software; (ii) not to attempt to hack into, interfere or disrupt this Site, any networks connected to this Site, or any functions or transactions on this Site (or use or permit use of any device, software or routine that could cause interference or disruption); (iii) not to take any action that imposes an unreasonable or disproportionately large load on the Site infrastructure; (iv) not to use this Site to collect or harvest personal data or other information, including, without limitation, financial information; (v) not to impersonate any person or entity or misrepresent your affiliation with a person or entity; and (vi) not to post any misleading, fraudulent, defamatory, obscene or illegal information on this Site. You agree not to use the services available at this Site for illegal purposes, and to comply with all regulations, policies and procedures of networks connected to this Site.

10. Intellectual Property. All information and material including data, images, Site 'look and feel', text and audio on the Site is the property of Business Money and/or its licensors and is subject to copyright. All trade marks on the Site are (unless stated otherwise) the property of Business Money and/or its licensors. You are entitled to copy and print any documents from the Site but only for your own internal business purposes. Any sale, redistribution or making available of any of the Site or its content, and any copying, modification or other use of the Site or its contents for any purposes other than your own internal business purposes, are strictly prohibited.

11. Software. All software used or available on the Site is the property of Business Money and/or its licensors. Business Money hereby grants you a non-exclusive, royalty-free, non-transferable, revocable licence to use such software solely for the purpose of lawful use of the Site under these Terms. Other than to the extent mandated by law, you may not decompile, reverse engineer or otherwise translate such software.

12. Links. This Site may provide links to other third party web sites. Business Money is not responsible for other such web sites. It does not endorse and is not liable for any content, products or other materials available on them. You acknowledge that you access these websites entirely at your own risk. If there are terms, rules or policies appearing on those websites, you should also review them as your use of those sites may be subject to them.

13. No Warranties. This Site, all services obtained through this Site and all information contained on this Site is provided on an "as is" basis from Business Money. BUSINESS MONEY MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, RELATING TO THESE TERMS, THE PERFORMANCE OR AVAILABILITY OF THIS SITE, THE INFORMATION, CONTENT, SOFTWARE OR SERVICES AVAILABLE OR ANY TRANSACTIONS INITIATED OR CONDUCTED THROUGH THIS SITE. TO THE FULLEST EXTENT LEGALLY PERMITTED, BUSINESS MONEY DISCLAIMS ALL WARRANTIES OR TERMS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Without limiting the foregoing, Business Money does not warrant that (i) the services offered on this Site meet your requirements, (ii) the services offered on this Site will be uninterrupted, timely, secure or error-free, (iii) results that may be obtained from use of the services will be reliable, (iv) information available on this Site is complete, or (v) any products, services or other material purchased or obtained by you through the services will meet your expectations. No advice or information, whether oral or written, obtained from or through this Site shall create any warranty on Business Money unless expressly set out in these Terms.

14. Limited Liability. BUSINESS MONEY, ITS SERVANTS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOST DATA, LOST PROFITS OR GOODWILL OR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS. THIS DISCLAIMER ALSO EXCLUDES, WITHOUT LIMITATION, ANY LIABILITY THAT MAY ARISE OUT OF THIRD-PARTY CLAIMS AGAINST YOU. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE SERVICES PROVIDED ON THIS SITE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. IN ANY EVENT, BUSINESS MONEY'S AGGREGATE LIABILITY TO YOU SHALL BE LIMITED TO NOT MORE THAN £10,000. NOTHING IN THIS AGREEMENT EXCLUDES A PARTY'S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE.

15. Indemnity. You shall indemnify, defend, and hold harmless Business Money and its affiliates, employees, agents, successors, officers, and assigns, from any suits, losses, claims, demands, liabilities, costs and expenses (including professional fees) that they may sustain or incur arising from (i) your use of the software available at this Site, (ii) your failure to comply with any applicable laws and regulations or to obtain any licences, authorisations or approvals from the appropriate government or official authorities necessary to offer your services, (iii) your provision or use of the content available on this Site in contravention of these Terms (iv) your breach of any of your representations, warranties or obligations under these Terms, (v) the sale or purchase, or purported sale or purchase, of services by you, or any loss suffered by or harm to any person or property in any way relating to or caused in whole or in part by the services sold or purchased by you, (vi) any taxes attributable to the services or due on the purchase or sale of the services, (vii) any dispute between you and a Buyer or Vendor arising out of a transaction initiated on the Site, (viii) alleged errors or omissions or misrepresentations in the information provided by you to Business Money hereunder or in the listings of services on the Site. In such event, you agree not to make any admission or settle any action, claim or demand on our behalf without our prior written consent.

16. Site Content. You acknowledge and agree that Business Money, in its sole discretion and without further notice to you, may (but is not obliged to) block or remove content and/or restrict any user activity or the posting, transmission or receipt of any information on the Site which Business Money in its sole discretion deems unlawful, inappropriate or that violates any of these Terms.

17. Provision of Data. In order to participate in the services offered at this Site, you must provide certain information about you as prompted to do so by the registration form and maintain and update such registration information as required. You warrant that such data is accurate, current and complete and that you are authorised to provide such data. If any registration data that you provide is inaccurate, not current or incomplete, Business Money retains the right to suspend or terminate your account and your right to use the services. Use of your registration data and other personal information on the Site subject to our Privacy Policy. Where information is supplied to us for the purposes of putting on the Site or supplying on to third parties, you grant to Business Money a non-exclusive licence to (i) convert such information into digital format; (ii) use, reproduce, modify, display, market, publish, distribute, and transmit the information in connection with operating, demonstrating, or marketing the Site or Business Money's services, and (iii) combine the information with other content provided by Business Money. The foregoing licence includes the right to grant sublicences to Business Money's provider of Site hosting/support services for operation of the Site and users of the Site to print all or any portion of the information for internal business purposes. Business Money retains all ownership rights in and to any modifications, enhancements or other contributions made by or on behalf of Business Money to any information provided by you. Upon request by you, Business Money shall have up to seven (7) days to remove any of your information or proprietary names from the Site. Except as otherwise stated in these Terms or our Privacy Policy, any material, information or other communication you transmit or post on the Site ("Communications") will be considered non-confidential and non-proprietary. Business Money will have no obligations with respect to the Communications. Business Money and its designees will be free to copy, store, process, modify, display, market, disclose, distribute, incorporate, transmit and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or non-commercial purposes.

18. Termination. You agree that Business Money may, in its sole discretion, deny you access to the Site and disable any Log-In details associated with you for any valid reason, including, without limitation, if Business Money believes (in its discretion) that you have acted in contravention of or intend to breach these Terms. Business Money reserves the right from time to time to modify or generally discontinue or suspend (wholly or partly) services offered on the Site with or without notice, without liability to you. Any Terms that expressly or implicitly survive termination of the service (and your use of the Site), including paragraph 9 (intellectual property), 12 (no warranties), 13 (limited liability); 14 (indemnity); this paragraph 17 and paragraph 18 (general) shall continue in full force and effect.

19. General. This Site is created and controlled by Business Money in the United Kingdom. English Law governs these Terms and you agree to submit to the exclusive jurisdiction of the courts of England and Wales in the event of a dispute. Any waiver of any right or provision of this agreement will be effective only if signed by Business Money and the failure of Business Money to exercise or enforce any term or condition shall not constitute a waiver. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other Terms shall remain in full force and effect. Business Money reserves the right to make changes to the Site at any time. The rights and limitations in these Terms are for the benefit of Business Money and a person who is not a party to those Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them. You are not permitted to assign any of your rights under these Terms without Business Money's prior written consent. You may not issue press release or make any public statement regarding your use or participation in the Site without the prior written permission of Business Money. You and Business Money are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and Business Money is intended or created by your use of the Site.
